IPO for Companies and SEBI Compliances

Every company at the time of setup  or during the normal operations require the funds in terms of private equity or initial public offerings from the capital market. In past, government opened the window for SME sector by cutting down the requirement of  minimum level of the equity size from the market. Still further the companies require the resource for compliances to SEBI in ordinary course of business, execution of IPO in the capital market and compliances under the Companies Act,2013 for the activities under the various regulations as mentioned below:-

 

SEBI(SAST) Regulations – Compliance of Takeover Code :

  1. Takeover of the listed company;
  2. Sale/acquisition of shares by the promoters;
  3. Due diligence prior to takeover;
  4. Guiding the acquirer /seller for taking various steps as required under the Takeover Code;
  5. Drafting the Share Purchase Agreement;
  6. Coordination in finalization of various intermediaries during the process of takeover;

 

SEBI (ICDR) Regulations:

  1. Initial planning of the Public Issues (IPO) (Main Board or SME Board);
  2. Advising the promoters/company for taking various steps for getting appropriate valuation;
  3. Coordination in finalization of various intermediaries during the process of takeover;
  4. Coordinating between the Company and Merchant Banker for drafting the Prospectus and filing with the SEBI/Stock Exchanges;
  5. Advising the promoters/company for marketing of the issue;
  6. Coordinating between the Company and Registrar to the Issue for Allotment of shares;
  7. Coordinating between the Company and Stock Exchanges for listing of the Issue;

 

LODR Compliances:

  1. Coordinating with the Company for filing and vetting various returns/documents from time to time with the Stock Exchanges/SEBI;
  2. Coordination in preparation of quarterly results for publishing in the newspapers.
  3. Coordinating with the Company for filing/vetting documents as may be required for any exemption from the SEBI;

 

Secretarial / Legal:

  1. Preparation of Agenda/Minutes of the Board / Shareholder’s Meetings;
  2. Transfer/Transmission of Shares, correspondence with shareholders;
  3. Maintenance of statutory records of the company;
  4. Secretarial Audits of the Companies;
